By accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms. IF YOU DO NOT AGREE, YOU MUST DISCONTINUE USE IMMEDIATELY.
Shoreway is a B2B SaaS platform providing AI-powered lead capture, qualification, and appointment booking for service-based businesses. Access is provided on a subscription basis (Free, Starter, Growth plans).
We own all intellectual property rights in the Services. We grant you a non-exclusive, non-transferable, revocable license to access the Services for your internal business use only. Any breach of these rights will terminate your right to use our Services immediately.
By using the Services, you represent that you are at least 18 years old, have the legal capacity to agree to these Terms, and will not use the Services for any illegal or unauthorized purpose.
You may not: systematically retrieve data to create databases without permission; trick, defraud, or mislead users; circumvent security features; upload viruses or malicious material; engage in automated use without authorization; impersonate another user; use the Services to compete with us.
We reserve the right to deny access to or terminate your account at any time for any reason, including breach of these Terms, without notice or liability. If terminated, you may not create a new account without our written permission.
THE SERVICES ARE PROVIDED AS-IS AND AS-AVAILABLE. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.
IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY TO YOU WILL BE LIMITED TO THE LESSER OF THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM OR $100.
You agree to defend, indemnify, and hold harmless SM IT CONSULTING SERVICES LLC and its affiliates, officers, agents, and employees from and against any loss, damage, liability, claim, or demand arising from your use of the Services or breach of these Terms.
These Terms are governed by the laws of the State of Texas, United States. Disputes shall be resolved by binding arbitration in Houston, Texas (1 arbitrator, English, UNCITRAL rules) after 30 days of informal negotiation. No class action arbitration is permitted.
We reserve the right to modify these Terms at any time. We will notify you of material changes by email. Continued use of the Services after changes constitutes acceptance of the revised terms.
These Terms constitute the entire agreement between you and us. If any provision is found unenforceable, the remaining provisions remain in effect. We may assign our rights and obligations at any time.
